Ramsey Alloush

Ramsey focuses his practice on corporate and securities law as it relates to all areas of biotechnology. He regularly acts as outside counsel to domestic and international biotechnology companies, bringing a unique set of skills, combining his experience from government, corporate and law firm practice which allows him to provide the full strategic approach for his clients. He advises innovative startup and incubators as well as small and mid cap companies on corporate formation; registered and private offerings; regulatory and compliance; ongoing reporting; and corporate and commercial transactions. 

Additionally, Ramsey served as general counsel for a robust privately held pharmaceutical company. In his capacity, he was responsible for all segments of the organization including its securities filings, employment, intellectual property filings, compliance matters and debt and equity offerings through its acquisition by a publicly traded company. Ramsey also served as a legal fellow at the U.S. Securities & Exchange Commission, Division of Enforcement, where he was responsible for conducting litigation activities, including drafting pleadings, motions and briefs and conducting discovery. Prior to starting Alloush LLP, Ramsey worked for Medicis Pharmaceutical Corporation (NYSE: MRX).

  • Acting as issuers counsel for a specialty pharmaceutical company and advising on its Regulation D offering.

  • Acting as investment bank counsel on a series of secondary offerings.

  • Advising a venture capital firm on its divestment of convertible debt in a medical research and development company.

  • Advising a publicly traded pharmaceutical company on its acquisition of an international pharmaceutical company.

  • Advising a US corporation on its acquisition of several medical device and pharmaceutical companies in the US.

  • Advising a broker-dealer in its acquisition of a competing firm.

  • Advising a privately held pharmaceutical company on its sale of shares to a publicly traded pharmaceutical company.

  • Advising a large US corporation on its international brand licensing and registration in the UAE.

  • Advising a large US corporation on a wide variety of corporate/commercial transactions, including: the sale of its shares to a multinational private equity firm; the licensing and formation of its subsidiary trading company; the drafting of various distribution agreements throughout the MENA region.

  • Advising several medium to large US and foreign companies on a variety of antitrust, corporate formation and governance, healthcare/pharmaceutical regulatory and labor and employment matters.
