Patent Advisor | Washington, DC
We are seeking a Patent Agent or Technical Advisor to draft patent applications. This role involves working directly with clients ranging from Fortune 500 companies engaged in protecting new inventions, to startups working on cutting edge technologies. Candidates will be exposed to a variety of technologies and will be working directly with inventors to draft detailed patent applications covering the inventors' inventions.
Position Description:

Draft US patent applications;

Prosecute patent applications;

Assist clients with management of patent portfolios and provide recommendations regarding prosecution strategies;

Routinely conduct examiner interviews with the USPTO to expedite prosecution;

Prepare responses to outstanding communications from the USPTO in a timely manner;

Conduct invention disclosure teleconferences with inventors;
-
Perform complex legal analysis including freedom-to-operate and patentability analysis; and
-
Participate in invention disclosure teleconferences.
Qualifications Summary:

Bachelor's degree required; advanced degree preferred - Ideally in Biology, Chemistry, Biochemistry, Physics or other science field.

Minimum three years related experience drafting patent applications.

Superior technical, writing, communication and analytical skills.

Experience in drafting US patent applications required.
Corporate Assistant and Coordinator | Washington, DC
We are seeking a Corporate Assistant and Coordinator. The candidate selected for this role will be expected to analyze and summarize complex issues, under the supervision of an advisor; conduct research and writing necessary for the development of resolutions, agreements, corporate maintenance, contracts; establish and maintain an effective system of communication throughout the organization and establish and maintain effective working relationships with others; update and maintain files; assist advisors in all stages of corporate transactions and with the preparation of documents necessary to comply with federal, state and local regulations in the conduct of business activities.
Position Description:

Assist in ensuring state licensing regulatory and compliance for drug manufacturers, wholesale distributors, virtual manufacturers, third party logistics, and pharmacies.

Assist in preparing integral corporate documents/materials.
-
Work with advisors to prepare all documents required to form corporations (both business and not-for-profit corporations), partnerships and limited liability companies in any state.

Assist advisors in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies.

Assist advisors with the completion of stock certificates.

Complete franchise tax forms for advisor review.

Create and maintain corporate minute books.

Work directly with advisors and clients during closings and corporate transactions.

Provide advisors with assistance in the preparation for and closing of various corporate transactions, including mergers and acquisitions, private placement offerings, and initial public offerings.

Prepare audit letters for distribution to auditors and clients.

Assist with SEC filings.

Assist with FDA filings.

Work directly with advisors to prepare SEC filings with regard to securities offerings and respond to the requirements of the Securities Acts of 1933 and 1934 filings.

Work with Internal Revenue Service.

Assist with the completion and filing of SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies.
